Reference is made to the Company's announcement on 23 September 2025 whereby the Company's wholly owned subsidiary,  Cahaya Riang Sdn Bhd. [202001020084(1376404-H)] ("CRSB" or "Developer"), had entered into a Pre-Condition Agreement ("PCA") with The United Sabah Chinese Communities Association of Kota Kinabalu (Registration No: PPM-014-12-12101975) ("USCCA") and The Sabah United Chinese Chambers of Commerce (Registration No. PPM-023-12-03071966)  ("SUCCC") [collectively referred to as the "Proprietors"].

The Board of Directors ("Directors") of APHB wishes to announce that the Developer has on 22 September 2026 fulfilled the condition precedent under the PCA and has today entered into a Development Agreement ("DA") with USCCA and SUCCC for development of all that parcel of leasehold land held under Town Lease 017547027, District of Kota Kinabalu, Karamunsing, Sabah, Malaysia measuring approximately 119,479 sq ft in area ("Project Land").
