Unless stated otherwise, definitions used in this announcement shall carry the same meanings as defined in the announcement dated 1 July 2026 ("Announcement").
Further to the Announcement, the Company wishes to announce that the Defendants have filed their defence and counterclaim against TBSB ("Counterclaim"), which was electronically served on 23 July 2026. In the Counterclaim, the Defendants have prayed for:
(a) A declaration that the CTOS Notification made by the Plaintiff against the First Defendant is invalid and of no legal effect;
(b) An order that the Plaintiff cancel and remove the said CTOS Notification against the First Defendant within seven (7) days from the date of this Order;
(c) Judgment against the Plaintiff in the sum of RM7,999,895.00, being damages payable to the First Defendant arising from the cancellation of the purchase order issued by TNB;
(d) Judgment against the Plaintiff in the sum of RM14,500,000.00 as damages payable to the First Defendant arising from the cancellation of the First Defendant's banking and financing facilities offered by the banks and financial institutions;
(e) Alternatively to Prayer (d), general damages to be assessed by the Court;
(f) Exemplary damages to be assessed by the Court;
(g) Costs of this action, including costs on a solicitor-and-client basis;
(h) Interest at the rate of five per cent (5%) per annum on the judgment sums awarded under Prayers (c), (d), (e) and (f), calculated from the date of judgment until the date of full settlement; and
(i) Such further and/or other relief or orders as this Honourable Court deems fit and just.
TBSB's is advised by its solicitors that TBSB has a good defence against the Counterclaim. The Company will continue to seek legal advice from its solicitors on this matter and what the next course of action ought to be.
The Company will make further announcements on any material developments on the matter.
