On behalf of the Board of Directors of Straits ("Board"), UOB Kay Hian (M) Sdn Bhd (formerly known as UOB Kay Hian Securities (M) Sdn Bhd) ("UOBKH") wishes to announce that Straits proposes to undertake the following:-

i.          a private placement of up to 10% of the total number of issued shares of Straits ("Straits Share(s)" or "Share(s)") (excluding treasury shares, if any) to third party investor(s) to be identified later, at an issue price to be determined and announced later, pursuant to Sections 75 and 76 of the Companies Act 2016 ("Act") ("Proposed Private Placement"); and

ii.          the proposed acquisition of 180,000 ordinary shares in Straits CommNet Solutions Sdn Bhd ("SCS") ("SCS Share(s)"), representing 18% of the equity interest in SCS from ZoomPixel Sdn Bhd ("Zoom" or the "Vendor") for a purchase consideration of RM6,064,198 which will be satisfied entirely via cash ("Purchase Consideration") ("Proposed Acquisition").

(The Proposed Private Placement and Proposed Acquisition are collectively referred to as the "Proposals")
