We refer to the Company’s following earlier announcements made in relation to the Company being classified as an affected listed issuer pursuant to PN17 of Listing Requirements:-

(i) first announcement dated 30 September 2022 (“First Announcement”); and

(ii) 1 November 2022,1 December 2022, 4 January 2023, 2 February 2023, 1 March 2023, 31 March 2023, 5 May 2023, 31 May 2023, 30 June 2023, 31 July 2023, 30 August 2023, 4 September 2023, 27 September 2023, 29 September 2023, 26 October 2023, 2 November 2023, 1 December 2023, 2 January 2024, 31 January 2024, 1 March 2024, 19 March 2024, 2 April 2024, 30 April 2024, 2 May 2024, 16 May 2024, 4 June 2024, 2 July 2024, 10 July 2024, 1 August 2024, 2 September 2024, 27 September 2024, 30 September 2024, 1 October 2024, 18 October 2024, 1 November 2024, 2 December 2024, 2 January 2025, 3 February 2025, 21 March 2025, 2 April 2025, 2 May 2025, 20 May 2025, 26 May 2025, 3 June 2025 and 1 July 2025. 

(collectively, referred to as the “Earlier Announcements”)

Unless otherwise defined, the abbreviations and definitions used throughout this announcement shall bear the same meaning as those defined in the Earlier Announcements.

On behalf of the Board of Directors of SCB, Malacca Securities wishes to announce that, after due consideration of all facts and circumstances of the Appeal Application, Bursa Securities had vide its letter dated 10 July 2025 decided to:-

(a) dismiss the Company's appeal for a further extension of time until 31 December 2025 to finalise and submit the regularisation plan to the relevant authorities for approval; and

(b) de-list the securities of the Company from the Official List of Bursa Securities pursuant to paragraph 8.04 of the Listing Requirements.

In the circumstances, the securities of the Company will be removed from the Official List of Bursa Securities upon the expiry of two (2) market days from the date hereof, i.e. on 15 July 2025.

In arriving at the aforesaid decision, Bursa Securities had considered, amongst others, the latest announced audited and unaudited results of the Company and the following: -

(1) SCB has not demonstrated, to the satisfaction of Bursa Securities, material development towards the finalisation and submission of the Company’s proposed regularisation plan to the relevant authorities and there was a lack of clarity/certainty of a regularisation plan;

(2) Since the First Announcement on 30 September 2022, SCB has had approximately 2 years and 9 months to regularise the Company's financial condition in accordance with paragraph 8.04 of the Listing Requirements and PN17;

(3) All PN17 companies are required to regularise their financial condition expeditiously within the timeframe prescribed in paragraph 8.04 of the Listing Requirements and PN17 or such extended timeframe as may be granted by Bursa Securities;

(4) The requirement for companies to have an adequate level of financial condition served to ensure that companies listed on the Official List are of a certain minimum quality as well as to preserve and sustain market integrity and investors' confidence; and

(5) In Bursa Securities' opinion, adequate time and opportunity had been accorded to SCB to regularise the Company’s financial condition.

With respect to the securities of the Company which are currently deposited with Bursa Malaysia Depository Sdn. Bhd. (“Bursa Depository"), the securities will be withdrawn from Bursa Depository by the Company upon the de-listing of the securities from the Official List of Bursa Securities. The Company will continue to update and maintain the shareholders’ information in their Register.

Upon the de-listing of the Company, the Company will continue to exist but as an unlisted entity. The Company is still able to continue its operations and business and proceed with its corporate restructuring and its shareholders can still be rewarded by the Company's performance. However, the shareholders will be holding shares which are no longer quoted and traded on Bursa Securities. The interests and rights of the shareholders will remain safeguarded under the Companies Act 2016.
