Reference is made to the Company’s announcements dated 10 February 2023, 17 February 2023, 20 February 2023, 24 March 2023, 12 April 2023 and 20 June 2023 in relation to the Memorandum of Understandings (“MOUs”) entered between XOX Pro Sport Sdn. Bhd. (“XOX Pro Sport”), a wholly-owned subsidiary of the Company, with various football clubs in Malaysia and the Company's announcements dated 31 May 2023, 29 August 2023, 30 November 2023, 29 February 2024, 31 May 2024, 21 August 2024, 29 November 2024 and 28 February 2025, respectively in relation to the update on the status of the said MOUs. 
 
XOX Bhd (“XOX” or the “Company”) wishes to announce that the Company had on 20 March 2025 diluted its equity interest in XOX Pro Sport to 10%, resulting in XOX Pro Sport ceasing to be a subsidiary of the Company.

In connection therewith, the following MOUs previously entered into by XOX Pro Sport shall no longer be deemed binding on or applicable to XOX with effect from 20 March 2025:

i) MOU dated 10 February 2023 entered with Kuala Lumpur City Fc Sdn. Bhd.; 

ii) MOU dated 17 February 2023 entered with Negeri Sembilan Football Club Sdn. Bhd.; 

iii) MOU dated 18 February 2023 entered with Darulaman Football Club Sdn. Bhd.; 

iv) MOU dated 20 February 2023 entered with Sri Pahang Football Club Sdn. Bhd.;

v) MOU dated 24 March 2023 entered with Kuching City FC Sdn. Bhd.; 

vi) MOU dated 12 April 2023 entered with Kelantan United FC Sdn. Bhd.; and 

vii) MOU dated 20 June 2023 entered with Penang FC Sdn, Bhd.
