Unless otherwise defined, terms used in this announcement shall carry the same meanings as those given to them in the announcements dated 13 August 2024 and 30 September 2024.
We refer to the announcements in relation to the Proposed Transfer Listing.
On behalf of the Board, M&A Securities wishes to announce that Bursa Securities has, vide its letter dated 8 October 2024, after taking into consideration the relevant facts and circumstances, resolved to approve the Company’s application for exemptions from having to:
(i) extend the Exit Offer; and
(ii) appoint an Independent Adviser to advise and make recommendations for the consideration of the shareholders of the Company in connection with the Proposed Withdrawal of LEAP Listing as well as the fairness and reasonableness of the Exit Offer.
The said approval is subject to the condition that the undertakings set out in the irrevocable and unconditional written undertaking letters provided by all shareholders of the Company remain valid and binding until the completion of the Proposed Withdrawal of LEAP Listing.
