MLABS SYSTEMS BERHAD ("MLABS" OR THE "COMPANY") FREE DETACHABLE WARRANTS IN THE COMPANY ("WARRANTS") ISSUED PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 217,410,867 NEW ORDINARY SHARES IN MLABS ("SHARES") ("RIGHTS SHARES") ON THE BASIS OF 3 RIGHTS SHARES FOR EVERY 1 EXISTING SHARE HELD TOGETHER WITH UP TO 86,964,346 FREE DETACHABLE WARRANTS ("WARRANTS") ON THE BASIS OF 2 WARRANTS FOR EVERY 5 RIGHTS SHARES SUBSCRIBED FOR ("RIGHTS ISSUE")
Each Warrant carries the entitlement to subscribe for 1 new Share at the exercise price (as set out above) at any time during the exercise period (as set out above) ("Exercise Period"), subject to any adjustment(s) in accordance with the provisions of the deed poll constituting the Warrants dated 18 June 2024. Any Warrants not exercised during the Exercise Period will thereafter lapse and cease to be valid for any purpose. If the expiry/maturity date of the Warrants is not a market day, then it shall be the market day immediately preceding the said non-market day. This announcement is dated 31 July 2024.
