FREE DETACHABLE WARRANTS IN ICONIC WORLDWIDE BERHAD ("ICONIC") ("WARRANT(S)") ISSUED PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 1,124,706,544 NEW ORDINARY SHARES IN ICONIC ("ICONIC SHARE(S)") ("RIGHTS SHARE(S)") AT THE ISSUE PRICE OF RM0.085 PER RIGHTS SHARE, ON THE BASIS OF 2 RIGHTS SHARES FOR EVERY 1 EXISTING ICONIC SHARE HELD, TOGETHER WITH 749,804,362 FREE DETACHABLE WARRANTS IN ICONIC ON THE BASIS OF 2 WARRANTS FOR EVERY 3 RIGHTS SHARES SUBSCRIBED FOR ("RIGHTS ISSUE WITH FREE WARRANTS")
The Warrants may be exercised any time during the tenure of the Warrants of 5 years including and commencing from the issue date of the Warrants and ending at 5.00 p.m. on the expiry date (being a date being 5 years from and including the date of issue of the Warrants, provided that if such day falls on a day which is not a market day, then on the preceding market day). Each Warrant carries the entitlement to subscribe for 1 new ordinary share in Iconic at the exercise price of RM0.07 which shall be satisfied fully in cash and shall be subject to the adjustments in accordance with the terms and provisions of the deed poll dated 11 March 2024 constituting the Warrants during the exercise period (i.e. any time during the tenure of the Warrants of 5 years including and commencing from the issue date of the Warrants).
