FREE DETACHABLE WARRANTS IN D'NONCE TECHNOLOGY BHD ("DTB" OR "COMPANY") ("WARRANT(S)") ISSUED PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF 433,818,947 NEW ORDINARY SHARES IN DTB ("DTB SHARE(S)" OR "SHARE(S)") ("RIGHTS SHARE(S)") ON THE BASIS OF 1 RIGHTS SHARE FOR EVERY 1 EXISTING SHARE HELD AS AT 5.00 P.M. ON 15 FEBRUARY 2024 AT AN ISSUE PRICE OF RM0.09 PER RIGHTS SHARE, TOGETHER WITH 433,818,947 WARRANTS ON THE BASIS OF 1 WARRANT FOR EVERY 1 RIGHTS SHARE SUBSCRIBED FOR ("RIGHTS ISSUE")
Each Warrant carries the entitlement to subscribe for 1 new DTB Share at the exercise price of RM0.09 at any time during the exercise period (as indicated above) ("Exercise Period"), subject to any adjustments that may be made from time to time in accordance with the provisions of the deed poll constituting the Warrants and governing the rights of the Warrants dated 29 January 2024. Any Warrant not exercised during the Exercise Period will thereafter lapse and cease to be valid and shall be cancelled and treated to have been cancelled forthwith. If the maturity date of the Warrants falls on a non-market day, then it will fall on the preceding market day. This announcement is dated 14 March 2024.
