We refer to the announcements dated 1 August 2023, 8 September 2023, 29 September 2023, 31 October 2023, 28 December 2023, 18 January 2024 and 31 January 2024 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that Bursa Securities had vide its letter dated 14 February 2024, approved the listing and quotation of 111,127,352 Consideration Shares to be issued pursuant to the Proposed Acquisition, subject to the following conditions:

(i) PMC must comply with the public security holding spread requirements pursuant to paragraph 8.02(1) of the Listing Requirements upon listing and quotation of the Consideration Shares;

(ii) PMC and TA Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposals;

(iii) PMC is required to furnish Bursa Securities with certified true copy of the resolution passed by the shareholders at the extraordinary general meeting approving the Proposals;

(iv) PMC and TA Securities are required to inform Bursa Securities upon completion of the Proposals; and

(v) PMC is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed.
