Reference is made to the following:

(i) Dolphin’s announcement dated 15 September 2023 in respect of its notification to its shareholders of the entitlement date for the Share Consolidation; and

(ii) Dolphin’s notice to its Warrants 2020/2023 (“Warrants-B”) holders dated 15 August 2023 in respect of the expiry of Warrants-B on 27 September 2023.

On behalf of the Board of Directors of Dolphin (“Board”), Mercury Securities Sdn Bhd wishes to inform that:

(i) the entitlement date for the Share Consolidation has been fixed on 2 October 2023. Accordingly, Warrants-B holders who wish to be entitled for the Share Consolidation should exercise their Warrants-B by lodging their duly completed Warrants-B exercise forms with th­e Share Registrar, Boardroom Share Registrars Sdn Bhd, on or before 5:00 p.m. on 19 September 2023. This is to enable their names to appear in Dolphin’s Record of Depositors by 5:00 p.m. on 2 October 2023; and

(ii) in view that the Warrants-B will expire on 27 September 2023, i.e. before the entitlement date for the Share Consolidation of 2 October 2023, the exercise price and number of Warrants-B will not be adjusted pursuant to the Share Consolidation. Accordingly, no notice of adjustments will be issued to the Warrants-B holders.
