YONGTAI-PA - Notice of Book Closure

ADJUSTMENTS TO THE CONVERSION PRICE AND CONVERSION RATIO OF IRREDEEMABLE CONVERTIBLE PREFERENCE SHARES IN YONG TAI BERHAD ("YTB" OR "COMPANY") ("ICPS") PURSUANT TO THE CONSOLIDATION OF EVERY 5 EXISTING ORDINARY SHARES IN YTB ("YTB SHARES" OR "SHARES") HELD AT 5.00 P.M. ON 1 AUGUST 2022 ("ENTITLEMENT DATE") INTO 1 SHARE ("CONSOLIDATED SHARE") ("SHARE CONSOLIDATION")
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 29 Jul 2022
2)  The last date of lodgment : 01 Aug 2022

Remarks :

Reference is made to the Notice of Book Closure in relation to the Share Consolidation which had been announced by the Company on 18 July 2022. 

The conversion price of the ICPS and conversion ratio of the ICPS (for ICPS which are not converted into new Shares prior to the Entitlement Date) shall be adjusted pursuant to the Share Consolidation and in accordance with the provisions of the Company's Constitution ("Adjustments").

Pursuant to the Adjustments, the conversion price of ICPS will be adjusted from existing conversion price of RM0.80 each to RM4.00 each.

The conversion ratio of ICPS will be adjusted from existing conversion ratio of 1 ICPS for 1 new Share to 5 ICPS for 1 new Share. The adjustment will be effective on 2 August 2022, being the next market day following the Entitlement Date.

The notice setting out the details of the Adjustments will be issued and despatched to the ICPS Holders in due course.

Holders of ICPS who wish to be entitled to the Share Consolidation should convert their ICPS by lodging their duly completed ICPS conversion forms with the Share Registrar of Yong Tai Berhad (at the address stated above) on or before 5.00 p.m. on Wednesday, 20 July 2022 such that their names will appear in the Record of Depositors of the Company at 5.00 p.m. on the Entitlement Date.
