BIMB-WA - Notice of Book Closure

Payment of cash consideration of RM0.38 per Warrant (as defined herein) to the warrantholders of BIMB Holdings Berhad by way of a scheme of arrangement ("SOA") under Section 366 of the Companies Act 2016 which will entail the following:

(i) cancellation of the exercise rights in respect of the Warrants 2013/2023 ("Warrants");

(ii) cancellation of the Warrants; and

(iii) termination of the Deed Poll.
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Redemption” as from: 6 Aug 2021
2)  The last date of lodgment : 9 Aug 2021
3)  Date Payable : 27 Aug 2021

Remarks :

Unless otherwise defined, all abbreviations and definitions used herein shall have the same meaning as defined in the Company's announcement in relation to the Proposals dated 11 December 2019 and the Company's Circular & Explanatory Statement in relation to the Proposals dated 8 March 2021.

The trading of the Warrants on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on Friday, 6 August 2021, being one (1) Market Day prior to the Warrants Scheme Entitlement Date on Monday, 9 August 2021. Accordingly, the last day for trading of the Warrants on the Main Market of Bursa Securities prior to the suspension will be at 5.00 p.m. on Thursday, 5 August 2021. The Warrants will no longer be traded on the Main Market of Bursa Securities after the trading of Warrants is suspended on Friday, 6 August 2021. After completion of the SOA and the Distribution and Capital Repayment, Bank Islam shall assume the listing status of our Company, and be admitted to the Official List. 

Under the SOA, all Warrantholders whose names appear in the Record of Depositors as at 5.00 p.m. on Monday, 9 August 2021 i.e. Warrants Scheme Entitlement Date shall be entitled to receive a cash payment of RM0.38 for each existing Warrant in respect of:-

(a) Warrants transferred into your CDS account(s) before 4.30 p.m. on Monday, 9 August 2021; and

(b) Warrants bought on Bursa Securities on or before 5.00 p.m. on Thursday, 5 August 2021, being the last day of trading of the Warrants.

The settlement of the Warrants Consideration of RM0.38 per Warrant will be made by 27 August 2021. However, if you wish to exercise your Warrants, the last date and time for the exercise of the Warrants will be accelerated to 5.00 p.m. on Wednesday, 28 July 2021, being the 8th market day prior to the Warrants Scheme Entitlement Date.

A copy of the sealed order of the High Court of Malaya for the SOA has been lodged with the Registrar of Companies today.

The notice to the Warrantholders in relation to the suspension of trading of the Warrants and the Warrants Scheme Entitlement Date for the payment of the Warrants Consideration to the Warrantholders by way of the SOA under Section 366 of the Act will be despatched to the Warrantholders on 26 July 2021.
