DOLPHIN-WA - Notice of Book Closure

ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2016/2021 ("WARRANTS-A") AS SPECIFIED IN THE DEED POLL DATED 10 MARCH 2016 CONSTITUTING THE WARRANTS-A ("DEED POLL A") AS A CONSEQUENCE OF THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 412,087,515 NEW ORDINARY SHARES IN DOLPHIN ("DOLPHIN SHARES") ("RIGHTS SHARES") TOGETHER WITH UP TO 247,252,509 FREE DETACHABLE WARRANTS ("WARRANTS-B") AT AN ISSUE PRICE OF RM0.06 PER RIGHTS SHARE ON THE BASIS OF 5 RIGHTS SHARES FOR EVERY 4 EXISTING DOLPHIN SHARES HELD BY THE ENTITLED SHAREHOLDERS AT 5.00 P.M. ON 24 JULY 2020 ("ENTITLEMENT DATE") TOGETHER WITH 3 WARRANTS-B FOR EVERY 5 RIGHTS SHARES SUBSCRIBED ("RIGHTS ISSUE") ("ADJUSTMENTS")
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 23 Jul 2020
2)  The last date of lodgment : 24 Jul 2020
 

Remarks:

Holders of outstanding Warrants-A ("Warrants-A Holders") who wish to be entitled to the Rights Issue should exercise their rights to subscribe for new Dolphin Shares by lodging their duly completed exercise forms together with the subscription monies with Dolphin's share registrar, Boardroom Share Registrars Sdn Bhd, on or before 5:00 p.m. on 17 July 2020. This is to enable the new Dolphin Shares arising from such exercise to be allotted to the respective Warrants-A Holders such that their names will appear on the Record of Depositors as at 5:00 p.m. on 24 July 2020. The Warrants-A Holders who have not exercised their outstanding Warrants-A and whose names appear in the Record of Depositors for the outstanding Warrants-A as at 5:00 p.m. on 24 July 2020 would be entitled to the Adjustments. Fractional entitlements arising from the Adjustments, if any, will be disregarded and/or shall be dealt with by the Board of Directors of the Company ("Board") in such manner as the Board in its absolute discretion deems fit and expedient or in the best interest of the Company. The additional Warrants-A will be listed and quoted simultaneously with the Rights Shares and Warrants-B. The notice to Warrants-A Holders setting out the details of the adjustments to the Warrants-A and the notice of allotment of additional Warrants-A will be despatched to the Warrants-A Holders in due course.
