NOTION-WC - Notice of Book Closure

Adjustment to the exercise price and number of outstanding warrants 2018/2023 in Notion VTec Berhad ("NVB") constituted by the deed poll dated 26 February 2018 ("Deed Poll") ("Warrants-C") pursuant to the bonus issue of up to 188,078,269 new ordinary shares in NVB ("Bonus Shares") on the basis of 1 Bonus Share for every 2 existing ordinary shares in NVB ("Shares") held as at 5.00 p.m. on 15 May 2020 ("Entitlement Date") ("Bonus Issue").
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 14 May 2020
2)  The last date of lodgment : 15 May 2020
 

Remarks 1 :"Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place after 15 May 2020 with adjustment to the number of outstanding NOTION-WC shares, any shareholder who is entitled to receive NOTION-WC additional shares may now sell any or all of his NOTION-WC shares arising from adjustment pursuant to the bonus issue beginning the Ex-Date (14 May 2020).

For example, if Mr X purchases 200 NOTION-WC shares on cum basis on 13 May 2020, Mr X should receive 200 NOTION-WC shares on 15 May 2020. Pursuant to the Bonus share, a total of 300 NOTION-WC shares will be credited into Mr X's CDS account on the night of  15 May 2020 being the Book Closing Date. Therefore, Mr X can sell the NOTION-WC shares of 300 on or after the Ex-Date i.e. from  14 May 2020."

Remarks 2:Following the Bonus Issue, the exercise price and number of outstanding Warrants-C shall be adjusted in accordance with the provisions of the Deed Poll ("Adjustments").

Additional Warrants-C arising from the Adjustments will be allotted and issued to the holders of Warrants-C whose names appear in the Record of Depositors at 5.00 p.m. on the Entitlement Date.

The actual number of additional Warrants-C to be issued and allotted would depend on the outstanding number of Warrants-C which have yet to be exercised into new Shares as at the Entitlement Date.

The additional Warrants-C will be listed and quoted simultaneously with the Bonus Shares on the Main Market of Bursa Malaysia Securities Berhad on 18 May 2020, being the next market day immediately after the Entitlement Date. The notice to the holders of Warrants-C setting out the details of the Adjustments as well as the notice of allotment of the additional Warrants-C will be despatched in due course.

Holders of Warrants-C who wish to be entitled to the Bonus Shares shall exercise their rights to subscribe for new Shares by lodging their duly completed exercise forms together with the relevant subscription monies with NVB's share registrar (at the address stated above) on or before 5.00 p.m. on 5 May 2020 such that their names will appear in the Record of Depositors at 5.00 p.m. on the Entitlement Date.
