(Unless otherwise stated, all abbreviations used in this Announcement shall have the same meanings as defined in Sunway REIT's announcement dated 28 October 2025 in relation to the Proposed Disposal)

We refer to Sunway REIT's announcement dated 28 October 2025 in relation to the Proposed Disposal. 

The Board of Directors of Sunway REIT Management Sdn Bhd, being the manager for Sunway REIT, wishes to announce that the Trustee and SMCPSB (collectively, the "Parties"), had on 21 October 2026, entered into a first supplemental agreement to the SPA to amend the terms of the SPA, which shall include but not limited to the following:

(i) to extend the Cut-Off Date to 28 July 2027 or such other extended dates as the Parties may mutually agree upon in writing, to fulfill the Conditions Precedent;

(ii) that the Completion Date under the SPA shall be within three (3) months from the Unconditional Date or such extended period as the Parties may mutually agree in writing; and

(iii) that following the Lease Extension of the Land, the particulars of the Land has been updated to "all that piece of leasehold land currently held under Pajakan Negeri No. Hakmilik 14950, Lot 10869, Bandar Seberang Jaya, Daerah Seberang Perai Tengah, Negeri Pulau Pinang measuring approximately 4,294 square meters".
