- SUBCONTRACT AGREEMENT BETWEEN GAMUDA ENGINEERING SDN BHD AND QUDOTECH SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF AWC, FOR THE CONSTRUCTION AND COMPLETION OF COLD WATER SYSTEM, RAINWATER HARVESTING SYSTEM, WATER RETICULATION, FIRE HYDRANT AND SANITARY SERVICES FOR A HYPERSCALE DATA CENTRE AT BANDAR SPRING HILL, PORT DICKSON
1. INTRODUCTION
The Board of Directors of AWC ("Board") is pleased to announce that its wholly-owned subsidiary, Qudotech Sdn Bhd ("Qudotech"), has on 14 October 2026 entered into a Subcontract Agreement with Gamuda Engineering Sdn Bhd ("Gamuda") for the construction and completion of the cold water system, rainwater harvesting system, water reticulation, fire hydrant and sanitary services ("Subcontract Works") for a hyperscale data centre located at Bandar Spring Hill, Port Dickson, Negeri Sembilan.
2. DETAILS OF THE SUBCONTRACT AGREEMENT
The details of the Subcontract Agreement are as follows:

Scope of Subcontract Works
The Subcontract Works comprise the supply, delivery, installation, testing and commissioning of the following:
Cold Water System;
Rainwater Harvesting System;
Water Reticulation;
Fire Hydrant; and
Sanitary Services,
together with all other related services, labour, materials, equipment and works necessary for the proper completion of the Subcontract Works in accordance with the Subcontract Agreement.
Subcontract Sum
RM39,700,000.00
(Ringgit Malaysia: Thirty-Nine Million Seven Hundred Thousand only), being a fixed lump sum which includes all costs, charges and taxes but excludes Construction Service Tax.
Commencement and Completion
The commencement date of the Subcontract Works is 14 August 2026 *, with completion scheduled for 22 October 2027, subject to such extensions of time and/or adjustments as may be permitted under the Subcontract Agreement.
(*The Company wishes to clarify that the commencement date of the Subcontract Works is on 14 August 2026 where some preliminary works have already started during the period while waiting to finalise certain terms and conditions of the Subcontract Agreement.)
3. FINANCIAL AND OPERATIONAL EFFECTS
The Subcontract Works are in the ordinary course of business of Qudotech.
The Subcontract Works are expected to contribute positively to the future earnings and net assets of the AWC Group throughout the duration of the Subcontract Works. The Subcontract Agreement is not expected to have any material effect on the gearing of the AWC Group.
4. RISK FACTORS
The Group does not foresee any exceptional risks other than the standard operational risks associated with construction and engineering installations, fluctuations in material prices, and are the same with any other works of such nature undertaken. Qudotech will manage these risks in accordance with the Group's established project management, operational and risk mitigation practices.
5. DIRECTORS' AND MAJOR SHAREHOLDERS' INTERESTS
None of the Directors and/or major shareholders of AWC, and/or persons connected with them, have any interest, direct or indirect, in the Subcontract Agreement.
6. STATEMENT BY DIRECTORS
The Board is of the opinion that the Subcontract Agreement is in the best interests of the Company.
