The terms used herein shall have the same meaning as those defined in the announcements dated 29 September 2026 and 5 October 2026 in relation to the Proposed Placement, unless otherwise stated.
We refer to the announcements dated 29 September 2026 and 5 October 2026 in relation to the Proposed Placement.
On behalf of the Board, CGS MY wishes to announce that Bursa Securities had, vide its letter dated 7 October 2026, resolved to approve the listing and quotation of up to 52,941,100 new ordinary shares of UMS, representing approximately 5.96% of total number of issued shares in the Company, to be issued pursuant to the Proposed Placement.
The approval granted by Bursa Securities for the above is subject to the following conditions:
(i) UMS and CGS MY must fully comply with the relevant provisions under the Main Market Listing Requirements pertaining to the implementation of the Proposed Placement;
(ii) In the event the Proposed Placement is not completed before the next annual general meeting, UMS or CGS MY is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the forthcoming annual general meeting for the authority to issue shares pursuant to the Companies Act 1967 before the listing of the Placement Shares;
(iii) UMS and CGS MY are required to inform Bursa Securities upon completion of the Proposed Placement;
(iv) UMS is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Placement is completed;
(v) UMS to furnish a written confirmation on the status of compliance of the term and conditions outlined in Bank Negara Malaysia's approval letter dated 1 September 2026, prior to the listing date;
(vi) UMS and/or CGS MY to furnish the requisite documents (where applicable) as required under Part C, Annexure PN25-A of the Main Market Listing Requirements, prior to the listing date; and
(vii) UMS shall advise the placees that any subsequent transfer of listed ringgit securities from Bursa Securities to SGX-ST is deemed to be a swapping of financial assets in Malaysia for a financial asset outside Malaysia and such transfer must comply with the prevailing Foreign Exchange Policy requirements on investment in foreign currency assets and subject to investment abroad limit.
