On behalf of the Board of Directors of CHRB ("Board"), Malacca Securities Sdn Bhd ("Malacca Securities") wishes to announce that the Company proposes to undertake the following:-

(i) proposed private placement of up to 33,733,970 new ordinary shares in CHRB ("CHRB Share(s)" or "Share(s)") ("Placement Share(s)"), representing 20.0% of the total number of issued Shares, to third-party investor(s) at an issue price to be determined later ("Proposed Private Placement"); and

(ii) proposed establishment of an employees' share scheme of up to 15.0% of the total number of issued Shares (excluding treasury shares, if any) ("Scheme") at any point in time during the duration of the Scheme for the eligible Directors and employees of the Company and its subsidiaries ("CHRB Group" or the "Group") (excluding dormant subsidiaries) ("Proposed ESS").
