The Board of Directors of Ramssol ("Board") wishes to announce that Rams Fintech Sdn. Bhd. ("RAMS FINTECH"), an indirect wholly owned subsidiary of the Company has on 28 July 2026 ("Effective Date") entered into a Memorandum of Agreement ("MOA") with CTOS Data Systems Sdn. Bhd. ("CTOS Data Systems") in respect of a referral and distribution arrangement for the "Pay Day Now" Earned Wage Access ("EWA") programme operated by RAMS FINTECH ("Platform").

Pursuant to the MOA, CTOS Data Systems will introduce, refer and promote the Platform and the EWA programme to employers and clients within its network, and RAMS FINTECH will onboard and service such referred employers and pay commission to CTOS Data Systems. The Parties will also explore complementary strategic and data collaboration opportunities for their mutual benefit ("Collaboration").
