Reference is made to the Company's announcements on 26 May 2026 and 28 May 2026. Unless otherwise stated, all abbreviations used herein shall have the same meaning as those previously announced.
The Board of Directors of OVH ("Board") wishes to inform that OVE ("OVE" or "First Defendant") a wholly-owned subsidiary of the Company, another entity, Stellar Star Engineering & Construction Sdn. Bhd. ("Second Defendant"), OVH ("Third Defendant"), OVH Group Chief Executive Officer, Mr. Willie Ho Huat Voon ("Forth Defendant") and OVH Managing Director, Kenny Ronald Ngalin ("Fifth Defendant") have been named as defendants in the writs of summons and statements of claims filed by Zhong Ming Construction & Engineering Sdn. Bhd. ("ZMCE") in relation to the Engineering, Procurement, Construction and Commissioning ("EPCC") of the Bintulu Additional Gas Sales Facilities-2 ("BAGSF-2") project.
The claims by ZMCE are related to alleged outstanding payments for the provision of manpower, fabrication works, lifting and rigging support, construction support services and related works for the BAGSF-2 project. ZMCE alleged, among others, that the Defendants had engaged them under contractual arrangements, that services and/or goods had been provided for the BAGSF-2 project, and that outstanding amounts of RM349,477.94 (inclusive of Interest and Costs) remain unpaid. ZMCE is seeking declaration that the five Defendants are jointly and/or severally liable for the alleged outstanding amounts remain unpaid. In June 2025, ZMCE had obtained judgment against the Second Defendant over the same transaction arising out of the same facts and issues in relation to the EPCC. On 12 June 2025, ZMCE had obtained Judgment against the Second Defendant in SUIT NO. BTU-B52NCvC-9-5/2025(SC) ("Initial Suit") in the Sessions Court at Bintulu, Sarawak over the same transaction arising out of the same facts and issues in relation to the EPCC. OVH has sought legal advice and been advised that the Writ of Summons is liable to be struck out on the ground of res judicata. The other Defendants may also on their own motion apply to strike out the Writ of Summons for res judicata as they should have been included in the Initial Suit.
OVE had on 17 July 2026 received sealed Writs and Statements of Claim dated 16 July 2026 from ZMCE through their solicitors, Messrs SY Tang & Co Advocates.
In addition, the Board also wishes to inform that OVE has also been named as Defendants in the Writ of Summons and Statement of Claim filed by Teamplex Corporation Sdn. Bhd. ("Teamplex") in relation to the EPCC of the BAGSF-2 project.
The claims by Teamplex are related to alleged outstanding payments for the supply equipment and machinery on hire, together with related construction support services for the BAGSF-2 project. Teamplex alleged, among others, that the Defendants had engaged them under contractual arrangements, that services and/or goods had been provided for the BAGSF-2 project, and that outstanding amounts remain unpaid. The amount claimed by Teamplex is RM370,700 together with interest and costs on indemnity basis.
OVE had on 17 July 2026 received sealed Writ of Summons and Statement of Claim dated 14 July 2026 from Teamplex through their solicitors, Messrs SY Tang & Co Advocates.
Financial and Operational Impact
The Company wishes to clarify that the allegations contained in the statements of claim are claims made by the respective plaintiffs and have not been adjudicated by the Court. At this juncture, there is no immediate financial and operational impact arising from the litigations other than legal cost and time in defending the claims.
Actions to be taken by the Company
The Company has sought legal advice and appointment of external legal counsel is underway to rebut the claims.
Further announcement(s) are to be made by the Company regarding any material developments, including upon conclusion and final resolution of the above matter.
