We refer to the Prospectus of the Company dated 27 February 2026 ("Prospectus"), which disclosed Sunway Medical Centre Putrajaya as one of the Company's planned projects. The project involves the construction and lease of a multi-specialty tertiary private hospital located in Precinct 7 of Putrajaya pursuant to a proposed joint venture between SHH and Putrajaya Holdings Sdn Bhd ("PjH") ("Proposed Joint Venture"). Unless otherwise defined herein, all terms used herein shall have the same meaning as defined in the Prospectus.

The Board of Directors of SHH wishes to announce that SHH and PjH have, on 22 July 2026, entered into a Supplemental Heads of Agreement 2 to further extend the term of the Heads of Agreement dated 23 April 2025 ("HOA") in relation to the Proposed Joint Venture.

Pursuant to a Supplemental Heads of Agreement dated 17 March 2026, the term of the HOA was previously extended to 22 July 2026. SHH and PjH have now mutually agreed to further extend the term of the HOA to 30 September 2026. This extension will provide the parties additional time to negotiate and finalise the definitive agreements for the Proposed Joint Venture.

Save for the extension of time, all other terms and conditions of the HOA remain unchanged.

The Company will make the necessary announcement(s) regarding any material developments in relation to the Proposed Joint Venture in accordance with applicable regulatory requirements.
