The Board of Directors of Jentayu Sustainables Berhad (the "Company") wishes to announce that the Company has received a notice dated 8 July 2026 from PK Green Fund (the "Fund"), pursuant to Section 138 of the Companies Act 2016 and the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, notifying the Company of a change in the Fund's interest as a substantial shareholder of the Company.
On 7 July 2026, the Fund acquired an additional 22,004,658 ordinary shares in the Company. Following the acquisition, the Fund holds a direct interest in 71,104,658 ordinary shares, representing approximately 13.059% of the total number of issued shares of the Company, compared with 49,100,000 ordinary shares (approximately 9.018%) previously.
The follow-on investment increases the Fund's holding by 22,004,658 shares and continues the strategic interest first disclosed by the Company on 2 July 2026.
Project Oriole is a RM2.8 billion, 162MW run-of-river hydroelectric project in Sipitang, Sabah (one of the state's largest private renewable energy investments), held through the Company's 70%-owned subsidiary, Oriole Hydro Padas Sdn Bhd. A 40-year power purchase agreement for the project has been secured with Sabah Electricity Sdn Bhd, providing a long-term contracted offtake for the electricity to be generated and, once operational, the project is expected to supply approximately 16% of Sabah's peak electricity demand. The project is progressing towards financial close and is aligned with the Sabah Energy Roadmap and Master Plan 2040 (SE-RAMP 2040), under which the State targets more than 50% renewable energy in its generation mix by 2035.
The Fund has informed the Company that its investment is strategic and long-term in nature, and that it intends to be a constructive and supportive shareholder, engaging with the Board and management on matters relating to the Company's strategy, corporate governance and sustainability.
