Reference is made to: -
(1) the announcement dated 5 September 2023, in relation to the Joint Venture and Shareholders' Agreement ("JV Agreement") between the Company and NOVA,
(2) the announcement dated 30 November 2023 on the incorporation of a new JV company, Digital EG Sdn Bhd ("DEG"), and
(3) subsequent updates provided in announcements dated 26 Feb 2024, 27 Nov 2024 and 3 July 2026.
Unless otherwise stated, all definitions used herein shall have the same meanings as defined in the earlier announcements.
The Board of Directors wishes to clarify that the NOVA and THETA have mutually agreed to terminate the JV Agreement following a strategic review. The joint venture has not commenced any material business operations and the intended commercial objectives have not materialised. Accordingly, NOVA and THETA have agreed to discontinue the collaboration.
