Reference is made to: -     

(1) the announcement dated 5 September 2023, in relation to the Joint Venture and Shareholders' Agreement ("JV Agreement") between the Company and NOVA,

(2) the announcement dated 30 November 2023 on the incorporation of a new JV company, Digital EG Sdn Bhd ("DEG"), and

(3) subsequent updates provided in announcements dated 26 Feb 2024 and 27 Nov 2024.

Unless otherwise stated, all definitions used herein shall have the same meanings as defined in the earlier announcements.

The Board of Directors of the Company wishes to inform that NOVA and THETA have mutually agreed to terminate the JV Agreement in accordance with the relevant provisions of the JV Agreement.

Following such termination, the parties will discuss the appropriate course of action in respect of DEG, which may include, among others, the winding-up of DEG, subject to mutual agreement and compliance with the terms of the JV Agreement.

The aforesaid transaction is not expected to have any material effect on the earnings, net assets, or gearing of the Company for the financial year ending 31 December 2026.

None of the Directors, major shareholders, or persons connected with them has any interest, direct or indirect, in the transaction.

The Company will make further announcements as and when there are any material developments.
