SELECTIVE CAPITAL REDUCTION AND REPAYMENT EXERCISE FOR THE ORDINARY SHARES IN BHIC ("BHIC SHARES") NOT OWNED BY BOUSTEAD HOLDINGS BERHAD ("BHB"); AND CAPITAL REDUCTION AND REPAYMENT EXERCISE FOR THE REDEEMABLE CONVERTIBLE PREFERENCE SHARES ("RCPS") CLASS A ("RCPS A") AND ISLAMIC RCPS CLASS A ("RCPS-i A"), PURSUANT TO SECTION 116 OF THE COMPANIES ACT 2016 ("ACT") (THE "PROPOSAL")

We refer to the announcements dated 10 February 2026, 23 February 2026, 3 March 2026, 9 March 2026, 2 April 2026, 6 April 2026, 29 April 2026 and 22 May 2026 in relation to the Proposal. Unless otherwise defined, the abbreviations and definitions used in the previous announcements in relation to the Proposal shall apply herein.

 

On behalf of the Board of Directors of BHIC, Affin Hwang IB wishes to announce that the High Court had on, 1 July 2026, granted an order confirming the reduction of the BHIC Shares not owned by BHB, RCPS A and RCPS-i A pursuant to Section 116 of the Act to give effect to the Proposal ("High Court Order").

 

Subsequent to the above, the Company will lodge an office copy of the sealed High Court Order with the Registrar of Companies pursuant to Section 116(6) of the Act ("Lodgement") in due course. The Proposal will become effective upon the Lodgement ("Effective Date").

 

For the avoidance of doubt, the Effective Date shall be on the same day as the entitlement date for the Proposal, which will be announced accordingly.
