References are made to the announcements dated 19 February 2025, 1 August 2025, 18 August 2025, 26 August 2025, 18 November 2025, 31 December 2025, 30 January 2026, 13 February 2026, 8 April 2026, and 14 May 2026 in relation to the Disposal and Leaseback ("Announcements"). Unless otherwise defined, the definitions used herein shall have the same meanings as defined in the Announcements.

On behalf of the Board, TA Securities wishes to announce that MTrustee had, vide its solicitors' letter dated 22 June 2026, agreed that the remaining Conditions Precedent under the SPA which had not been fulfilled shall be waived as Conditions Precedent and shall be fulfilled as conditions subsequent.

Accordingly, the SPA became unconditional on 23 June 2026 ("Unconditional Date"). The conditions subsequent shall be fulfilled within 90 days from the Unconditional Date, or such other date as may be mutually agreed in writing between MPTSB and MTrustee. Completion shall not take place unless the conditions subsequent have been fulfilled.
