The Board of Directors  ("Board") of Kanger wishes to announce that SBY Partners PLT (202106000003 (LLP0026726-LCA) & (AF0660)) ("SBY Partners PLT"), had on 24 June 2026 ("Notice Date"), given notice in writing to the Board of their intention to resign as Auditors of the Company. Pursuant to Section 281(2) of the Companies Act 2016 ("CA 2016"), SBY Partners PLT's term of office will end on 24 June 2026.

The resignation follows discussions between the Company and the auditors concerning the proposed revision of the audit fees for the financial year ended 31 March 2026. The auditors had proposed a substantial increase in audit fees, which was carefully considered by the Board. After due deliberation, the Board was of the view that the proposed increase was not commensurate with the scope and nature of the audit engagement and accordingly was unable to agree to the revised fee proposal. As the parties were unable to reach a mutually acceptable agreement on the terms of engagement, SBY Partners PLT subsequently tendered their resignation as auditors of the Company. 

The Board has resolved to commence the process of identifying and appointing a suitable replacement auditor as soon as possible.
