We refer to the announcement dated 27 March 2026 in relation to the Proposed Disposal. Unless otherwise defined, the definitions set out in the announcement dated 27 March 2026 shall apply herein.
The Board wishes to announce that both the Company and SSB have mutually agreed to terminate the HOA after taking into consideration the regulatory approval required for the Proposed Disposal and the uncertainty as to whether the relevant approval process can be completed within a timeframe acceptable to the parties.
As a result, the parties will not be entering into any definitive agreement on the Proposed Disposal. For the avoidance of doubt, both parties will have no claims whatsoever against each other arising from or in connection with the HOA after the mutual termination.
The cessation of the HOA is not expected to have any material effect on the earnings, net assets and gearing of AJR Group for the financial year ending 31 December 2026.
