Unless otherwise stated, all abbreviations and definitions used herein shall have the same meaning as those used in the Company's previous announcement dated 2 October 2025 in relation to the Conditional Sales.

Reference is made to the Company's previous announcement on 2 October 2025.

The Board of Directors would like to announce that the Conditional Sales were not approved by the unitholders of UOA REIT at its Adjourned Unitholders' Meeting held on 29 April 2026. In this respect, the condition precedent of the SPAs was not fulfilled, and the SPAs would be rescinded. Accordingly, the Vendor has accepted the rescission on 8 May 2026.
