CLOUDPOINT TECHNOLOGY BERHAD ("CLOUDPOINT" OR THE "COMPANY")

(I)	PROPOSED ACQUISITION; AND

(II)	PROPOSED VARIATION

(COLLECTIVELY REFERRED TO AS THE "PROPOSALS")

On behalf of the board of directors of Cloudpoint ("Board"), SCS Global Advisory (M) Sdn Bhd ("SCS Global") wishes to announce that the Company proposes to undertake the following:

 

  1. the proposed acquisition of 1,000,000 ordinary shares in CX One Sdn Bhd ("CX One") ("CX One Shares" or "Sale Shares") from Goh Poh Gan, Kursinah Binti Samat, Chee May Poh and Ng Siao Wei (collectively referred to as the "Vendors"), representing 100.00% equity interest in CX One for a cash consideration of RM16.80 million ("Purchase Consideration") ("Proposed Acquisition"); and

     

  2. the proposed variation and extension of timeframe for the utilisation of proceeds raised from the public issue pursuant to the Company's initial public offering ("IPO") ("Proposed Variation").
