On behalf of the Board of Directors of Jaycorp ("Board"), UOB Kay Hian (M) Sdn Bhd (formerly known as UOB Kay Hian Securities (M) Sdn Bhd) wishes to announce that the Company had on 30 April 2026, entered into a share sale agreement ("SSA") with Microban (M) Sdn Bhd to acquire 2,330,195 ordinary shares in Jaycorp Green Energy Sdn Bhd ("JGE"), representing approximately 40.0% equity interest in JGE for a total purchase consideration of RM15.0 million to be satisfied entirely via cash, pursuant to the terms of the SSA.

In conjunction with the Proposed Acquisition, the Company intends to undertake the Proposed Diversification of the business activities of Jaycorp and its subsidiaries ("Jaycorp Group" or the "Group") to include the investment, development and/or operation of renewable energy assets and related activities, including but not limited to solar, biomass, biogas and waste to energy. The Board anticipates that upon the completion of the Proposed Acquisition, JGE will contribute significantly to the Group's future net profits and/or net assets.
