(COLLECTIVELY REFERRED TO AS THE "PROPOSALS")

Reference is made to the Company's earlier announcements dated 22 January 2026, 28 January 2026, 3 April 2026, 7 April 2026, 24 April 2026 and 29 April 2026 in relation to the Proposals, the circular to shareholders dated 8 April 2026 in relation to the Proposals ("Circular") and the announcement dated 23 April 2026 in relation to the outcome of extraordinary general meeting for the Proposals. Unless stated otherwise, abbreviations and definitions used throughout this announcement shall bear the same meaning as those defined in the Circular.

 

On behalf of the Board, Malacca Securities wishes to announce that the Proposed Acquisition had been completed on 29 April 2026 in accordance with the terms and conditions of the SSA.  Following the completion of the Proposed Acquisition, 51,000,000 Consideration Shares had been allotted to the Vendors and Stakeholder on even date and the said Consideration Shares will be listed on the ACE Market of Bursa Securities on 30 April 2026.

 

Accordingly, AISB is now a 51%-owned subsidiary of Artroniq.
