Unless otherwise stated or redefined herein, all abbreviations and definitions used shall have the same meanings as those used in the Company's announcement dated 13 February 2025 and the Circular dated 25 April 2025 in relation to the Disposal.

The Board of Directors ("the Board") of GUH Holdings Berhad wishes to announce an update on the status of the payment conditions pursuant to the Compensation Agreement dated 13 February 2025 and the Supplementary Agreement dated 8 July 2025 (collectively, "the Agreements") entered into between GUH Suzhou and the SHZ Management Office in respect of the Disposal.

GUH Suzhou has received a request from the SHZ Management Office to extend the payment timeline for the fourth and final tranche of payment, representing approximately 20% of the total Disposal consideration, for a further period of three (3) months from the original due date of 30 June 2026 to 30 September 2026.

Following due deliberation and taking into consideration the long-standing cooperation between the parties, the Board has agreed to the said extension. The parties have mutually agreed that this revision to the payment timeline shall not constitute a breach of the Agreements, and the Company has agreed to waive any late payment interest or penalties for this specific period. Save for the revision to the payment timeline, all other terms and conditions of the Agreements shall remain unchanged and in full force and effect.

The Company will make further announcements upon receipt of the compensation sum and as and when there are any material developments in relation to this matter.
