1. Introduction

VETECE Holdings Berhad ("VTC" or "the Company") wishes to announce that its wholly owned subsidiary, Vision Technology Consulting Sdn Bhd ("VTCM"), had on 23 April 2026 entered into an agreement with a leading Malaysian utility company for the provision of Salesforce's Customer Relationship Management ("CRM") Cloud software subscription, maintenance & support services as well as enhancement services valued at approximately  RM39.63 million ("Contract").  This Contract is expected to be delivered over the financial years ending 31 August 2026 up to 31 August 2029.

2. Financial Effects

The Contract will not have any effect on the share capital and substantial shareholders' shareholdings of VTC and its subsidiaries ("Group"). However, the Contract is expected to contribute positively towards the future earnings and net assets of the Group over the financial year ending 31 August 2026 up to 31 August 2029.

3. Risk Factors

VTC does not foresee any exceptional risk other than the normal operational risks associated with the supply of products and will take the necessary steps to mitigate the risks as and when it occurs based on its past experiences and expertise.

4. Approvals required

The Contract is not subject to the approval of the Company's shareholders and/or any relevant regulatory authorities.

5. Directors' and Major Shareholders' Interests

None of the Directors and/or major shareholders and/or persons connected with the Directors and/or major shareholders of VTC has any direct or indirect interest in the Contract.

6. Directors' Statement

The Board of Directors of the Company is of the opinion that the Contract is in the ordinary course of business and is in the best interest of the Group.
