[Registration No. 201001020083 (903828-P)], its indirect wholly-owned subsidiary, had entered into a Technical Assistance Agreement ("TAA") with JUOKU TECHNOLOGY CO., LTD (Company No. 86928788) ("JUOKU") subject to the terms and conditions set forth in the TAA.
