| Circumstances by reason of which change has occurred | Manulife Financial Asia Limited ("MFAL") has acquired 146,641,663 ordinary shares in the capital of Manulife Holdings Berhad ("MHB") (representing approximately 63.31% of the issued and fully paid up shares in MHB) from Manulife Century Holdings (Netherlands) B.V. ("MCHN") in connection with an internal corporate restructuring of the business of the Manulife group in Asia. Prior to the acquisition, MFAL held an indirect interest in MHB through the chain of Manulife Financial (Singapore) Pte. Ltd. and MCHN. As a result of this corporate restructuring, MFAL has ceased to hold such indirect interest through MCHN and has become a direct shareholder of MHB with a 63.31% direct equity interest in MHB. |
