The Board of Directors of TSR Capital Berhad ("TSR Capital" or "the Company") wishes to announce that its wholly-owned subsidiary, TSR Bina Sdn. Bhd. ("TSR Bina"), has accepted a Letter of Award from AFA Construction and Engineering Sdn Bhd in relation to flood mitigation project along the East Coast Expressway (Phase 1), Package 3B, with a total contract value of RM34 million ("the Contract").

DETAILS OF THE CONTRACT

The scope of works under the Contract includes the construction and completion of earthworks and other associated works for Package 3B for the project known as "Construction and Completion of the Proposed Flood Mitigation Project at East Coast Expressway (Phase 1)". The Contract is scheduled to commence in April 2026 and is expected to be completed in fourth quarter 2027.

FINANCIAL EFFECTS

Barring any unforeseen circumstances, the Board of Directors of TSR is of the opinion that the Contract is expected to contribute positively to the earnings and net assets of the Group for the financial years ending 30 June 2026, and over the duration of the project.

RISK FACTORS

The Board does not foresee any exceptional risk factors other than the normal operational and project risks associated with construction contracts, which will be mitigated through the Group's established risk management and internal control processes.

CONTRACT RENEWAL STATUS

The Contract is not subject to renewal.

DIRECTORS' AND MAJOR SHAREHOLDERS' INTERESTS

None of the Directors or major shareholders of TSR Capital or persons connected to them have any direct or indirect interest in the Contract.

DIRECTORS' STATEMENT

The Board of Directors of TSR Capital, having considered all relevant factors, is of the opinion that the acceptance of the Contract is in the best interest of the Company and its shareholders.

APPROVALS REQUIRED

The Contract is not subject to the approval of the shareholders of TSR Capital or any relevant regulatory authorities.
