ADJUSTMENTS TO THE TERMS AND CONDITIONS OF THE NON-COLLATERALISED CASH-SETTLED CALL WARRANTS OVER ORDINARY SHARES OF NATIONGATE HOLDINGS BERHAD ("NATGATE") ("NATGATE-C9")

We refer to the announcement made by NATGATE dated 16 March 2026 and our announcement dated 17 March 2026 in relation to the Special Single Tier Dividend of 1.0 per share in respect of the financial year ended 31 December 2025 ("Special Dividend").
 

In accordance with the Second Schedule of the Deed Poll dated 20 May 2025, the terms and conditions of NATGATE-C9 shall not be adjusted as the adjustment amount is less than 2% of the Exercise Ratio and/or Exercise Price being changed.
