We refer to the Company's announcement dated 24 March 2026, in respect of the aforesaid matter.

It is noted that OCR Avenue Sdn Bhd ("OASB") and Magna Ecocity Sdn Bhd ("MESB") had on 20 April 2022 entered into a Joint Venture Agreement ("JV Agreement") whereby OASB and MESB were supposed to assume the role as Developer and Owner respectively for the development of the Project Land (20 acres in area). In the JV Agreement, it was disclosed that OASB is required to, among others, pay Lease Extension premium of up to RM25 million, RM32 million payable to Alliance Bank for full redemption of the Project Land and RM45 million payable to Hap Seng Credit Sdn Bhd ("HSCSB") for settlement of outstanding sum owed by MESB to HSCSB.

Given the backdrop of this JV Agreement and to give a proper context to the Proposed Disposal of 4.58 acres sub-divided sale land by OASB to MESB, please provide the following additional information:

1) To provide a clear and detailed clarification on how the joint venture between MESB and OASB established in 2022 pursuant to the JV Agreement has evolved into the current proposed disposal of the Sale Land by OASB given that MESB is the registered and beneficial owner of the Project Land.

2) To clarify if the JV Agreement is still subsisting. If yes, please provide the following information:

a) The last date of fulfilment of all the conditions precedent of the JV Agreement i.e. the Unconditional Date of the JV Agreement;

b) Details of the development project, of which the relevant information shall be provided in the manner specified under Paragraph 4, Part C, Appendix 10A of the Main Market Listing Requirements;

c) The total costs/expenses already incurred by each of the JV parties i.e. OASB and MAGNA Group respectively to jointly develop the Land; and

d) If the development of the Land has commenced as planned, please explain why the Land remains vacant as to-date.

3) In the event the JV Agreement has been terminated, please state the date of such termination and the reasons/factors leading to such termination as well as details on any penalty/compensation arising from the termination.

4) All factors of consideration that has been taken into account to justify the current disposal consideration of RM225.56 per square foot by OASB.

In this respect, please also clarify how could the Board ensure that the Sale Land is fairly priced and how the proposed transaction is carried out in the best interest of OCR Group given that:

a) there is no formal/proper valuation being carried out to substantiate the Land/Sale Land; and

b) All cost (detailed breakdown) that has been incurred by OASB in relation to the JV Agreement.

5) To further provide salient terms of the Proposed Disposal including but not limited to conditions precedent, events of default and termination clauses.

6) To state the expiry date of the lease of the Land.
