UNCONDITIONAL MANDATORY TAKE-OVER OFFER BY QUATTRINI HOLDINGS SDN. BHD. ("OFFEROR") THROUGH RHB INVESTMENT BANK BERHAD TO ACQUIRE ALL THE REMAINING ORDINARY SHARES IN TIMBERWELL NOT ALREADY OWNED BY THE OFFEROR, WONG WAI FOO ("ULTIMATE OFFEROR") AND THE PERSON ACTING IN CONCERT WITH THEM ("OFFER SHARES") FOR A CASH OFFER PRICE OF RM0.90 PER OFFER SHARE  ("OFFER")

Reference is made to the offer document dated 26 February 2026 in relation to the Offer ("Offer Document"). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as defined in the Offer Document.

 

We refer to the Offer Document which sets out the details, terms and conditions of the Offer.

 

The Board wishes to announce that the Company has today received a press notice from RHB Investment Bank Berhad, on behalf of the Offeror, informing that the Offer has closed at 5.00 p.m. (Malaysian time) on Thursday, 19 March 2026 ("Closing Date").

 

The level of acceptances of the Offer as at 5.00 p.m. (Malaysian time) on the Closing Date is set out in the attached press notice.
