Reference is made to the Company's announcements dated 12 July 2024, 11 October 2024, 10 January 2025, 16 April 2025, 11 July 2025, 17 November 2025 and 12 January 2026 ("Announcements") in relation to the Memorandum of Understanding entered into between JSPH and CPECC on 20 February 2025 (as amended on 7 March 2025) ("MOU"). The Board of Directors of JRB ("Board") wishes to announce that further to the MOU, JSPH and CPECC have entered into two (2) separate shareholders' agreement(s), to establish the legal basis for their cooperation and to govern their relationship as shareholders of JAKS CP Solar One Sdn Bhd (formerly known as JAKS CPECC Solar One Sdn Bhd) ("NewCo 1") and JAKS CP Solar Two Sdn Bhd (formerly known as JAKS CPECC Solar Two Sdn Bhd) ("NewCo 2") ("Shareholders' Agreement(s)"). Please refer to attachment for details of the Shareholders' Agreement(s).
