Reference is made to the announcements dated 5 March 2026 and 11 March 2026 in relation to the Proposed Acquisition (“Announcements”). Unless otherwise stated, all terms used herein shall have the same meaning as defined in the Announcements.

The Board of KJTS wishes to provide additional information in relation to the conversion/ exercise period (“Conversion Period”) of the RCPS B:

Conversion/ exercise period: The RCPS B held by Corellia may be converted at any time from 31 December 2024*.

Note:

* The expiry date for the conversion period of the outstanding RCPS B was initially fixed on 27 June 2023, which is six (6) months from the date of the directors’ report dated 28 December 2022 (as disclosed in the audited financial statements of IHSB for the financial year ended 30 June 2022).

Subsequently, Corellia and the Founder (i.e. Aaron C. Patel) had mutually agreed to vary the Conversion Period to allow Corellia to convert the RCPS B at any time from 31 December 2024 onwards. In this regard, there is currently no expiry date for the Conversion Period of the RCPS B held by Corellia.

For the avoidance of doubt, KJTS will only be acquiring all the ordinary shares in IHSB arising from the conversion of the aforementioned 16,714,726 RCPS B held by Corellia, being 3,855,165 new IHSB Shares.
