SUNWAY-C55 - Notice of Book Closure

ADJUSTMENT TO THE TERMS AND CONDITIONS OF THE EUROPEAN STYLE NON-COLLATERALISED CASH SETTLED CALL WARRANTS OVER ORDINARY SHARES OF SUNWAY BERHAD ("SUNWAY") ("SUNWAY-C55") PURSUANT TO THE DISTRIBUTION OF ORDINARY SHARES IN SUNWAY HEALTHCARE HOLDINGS BERHAD ("SHH") ("DISTRIBUTION SHARES") TO THE ENTITLED SHAREHOLDERS OF SUNWAY ("ENTITLED SHAREHOLDERS") BY WAY OF DIVIDEND-IN-SPECIE ON THE BASIS OF ONE DISTRIBUTION SHARE FOR EVERY 10 EXISTING ORDINARY SHARES HELD IN SUNWAY AS AT 5:00 P.M. ON 11 MARCH 2026 ("DISTRIBUTION") ("DIVIDEND IN SPECIE")

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 10 Mar 2026

2) The last date of lodgment : 11 Mar 2026

Remarks :

In accordance with Part 1 of the Deed Poll dated 22 October 2025, the Exercise Ratio and Exercise Price of SUNWAY-C55 will be adjusted as follows:

a. Adjusted Exercise Ratio = E x [(P - D) / P]

b. Adjusted Exercise Price = X x [(P - D) / P]

whereby:

P = Closing price of SUNWAY shares on the last market day on which SUNWAY shares are traded on a cum-entitlement basis

D = The  initial public offering price of SHH divided by 10.

X = RM6.0800, being the existing Exercise Price of SUNWAY-C55 immediately prior to the Dividend in Specie

E = 5.0000, being the existing Exercise Ratio of SUNWAY-C55 immediately prior to the Dividend in Specie

We shall make the announcement on the actual adjustments to SUNWAY-C55 on the Last Cum Date (i.e. 09 March 2026).

No adjustment shall be made to the Exercise Ratio or the Exercise Price if the adjustment would amount to less than 2% of the Exercise Ratio or the Exercise Price being changed.

For avoidance of doubt, reference should be made to the Base Prospectus dated 7 November 2025, the First Supplementary Base Prospectus dated 1 December 2025, the Second Supplementary Base Prospectus dated 27 February 2026, and the terms and conditions therein shall prevail.

AFFIN, as the issuer of SUNWAY-C55, will make further announcements should there be any updates in due course.
