The terms used therein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Public Spread Requirement.

We refer to the earlier announcements dated 9 September 2025, 9 October 2025 and 25 November 2025 in relation to the non-compliance with Public Spread Requirement.

As at 31 December 2025, the public shareholding spread of the Company was at 24.39%. Accordingly, BMG is not in compliance with the Public Spread Requirement under Paragraph 8.02(1) of the MMLR.

Notwithstanding the above, Bursa Securities had, vide its letter dated 8 October 2025, granted the Company an extension of time of six (6) months until 3 March 2026 to comply with the Public Spread Requirement under Paragraph 8.02(1) of the MMLR.

On 26 November 2025, the Company had submitted another application to Bursa Securities for the proposed acceptance of a lower percentage of public shareholding spread in accordance with Paragraph 2.2 of Practice Note 19 of the Listing Requirements.

As at the date of this announcement, the Company is in the midst of finalising its plan to address the Public Spread Requirement. In the interim, the Company will continue to monitor the level of its public shareholding spread and make the necessary announcement in event of any development on the above in accordance with the MMLR.
