PROPOSED ACQUISITION BY M INDUSTRIAL DEVELOPMENT SDN BHD, A SUBSIDIARY OF THE COMPANY, OF APPROXIMATELY 419.15 ACRES OF FREEHOLD LAND IN MUKIM SENAI, DAERAH KULAI, NEGERI JOHOR, WITH AN ESTIMATED GROSS DEVELOPMENT VALUE OF APPROXIMATELY RM2,260.0 MILLION, FOR A TOTAL PURCHASE CONSIDERATION OF APPROXIMATELY RM273.9 MILLION

Reference is made to the announcement dated 19 December 2025 in relation to the Proposed Land Acquisition, SHA and PMA (“Initial Announcement”). Unless otherwise stated, all abbreviations used herein shall have the same meanings as defined in the Initial Announcement.


On 19 December 2025, the Board had announced that M Industrial Development Sdn Bhd (“M Industrial”), a wholly-owned subsidiary of the Company, entered into the SPA with Aura Muhibah Sdn Bhd (“Aura Muhibah”), a wholly-owned subsidiary of KLK Land Sdn Bhd (“KLK Land”), which in turn is a wholly-owned subsidiary of Kuala Lumpur Kepong Berhad (“KLK Berhad”), for the Proposed Land Acquisition. Simultaneously, M Industrial entered into a SHA with Nova Legend Development Sdn Bhd (“Nova Legend”), a wholly-owned subsidiary of the Company, and KLK Land to record the intention of Nova Legend and KLK Land where they shall co-operate as shareholders in M Industrial, in the management and operation of M Industrial in accordance with the terms and conditions of the SHA.


On even date, M Industrial had entered into the PMA with Southville City Sdn Bhd (“Southville City”), a wholly-owned subsidiary of the Company, as M Industrial is desirous to appoint Southville City to manage, coordinate, execute and oversee the overall implementation, construction, development and operation in respect of the Proposed Industrial Development (as defined herein) for and on behalf of M Industrial.


Subsequently, on 23 December 2025, M Industrial had allotted and issued 1,999,900 ordinary shares in M Industrial (“M Industrial Shares”) to Nova Legend and KLK Land in the proportion as agreed in the SHA.

 

Upon completion of the Proposed Land Acquisition, Nova Legend, together with KLK Land, propose to jointly develop the Subject Properties (as defined herein) via M Industrial into a RM2,260 million modern industrial park to be known as ‘MS Industrial Park @ Kulai’.


Subsequent thereto, on behalf of the Board, Hong Leong Investment Bank Berhad wishes to announce the additional information in relation to the Proposed Land Acquisition.
