Reference is made to the article titled “Minority shareholders take Jentayu Sustainables to court over governance concerns” published by New Straits Times on 9 February 2025.

The Board of Directors of Jentayu Sustainables Berhad (“Company”) wishes to clarify certain matters in the article for accuracy and to assist shareholders in understanding the correct factual position.

1. Nature of the legal proceedings

The article states and implies that legal proceedings have been commenced against the Company. For clarity, the originating summons and court proceedings referred to in the article were commenced against Boardroom Share Registrars Sdn Bhd (“BSR”), the Company’s share registrar. The Company is not a party to the court proceeding.

2. Request for record of depositors (“ROD”) and collection of the ROD

In relation to the request for the ROD, the Company wishes to clarify that the request for the ROD dated 31 December 2025 was made to BSR, and not to the Company. On 12 January 2026, BSR advised the requesting shareholder to direct his request for the ROD to the Company.

Following the receipt of the special notice of intention to move resolutions from the requisitionist shareholders on 28 January 2026, the Company had on 5 February 2026, written to the requisitionist shareholders to, amongst others, inform them that the ROD as at the date of requisition would be made available for inspection and, subject to payment of the prescribed fee, for collection by them.

On 9 February 2026, the ROD was collected at the Company’s office by one of the requisitionist shareholders.

In light of the above, references in the article suggesting that the Company was the direct subject of legal action or that there was “continued failure and refusal” to provide statutory shareholder records are factually incorrect.

The Company remains committed to compliance with applicable laws and regulations as well as the maintenance of appropriate corporate governance standards.
