Unless otherwise defined, the definitions set out in the announcement dated 12 November 2025 (“Announcement”) shall apply herein.

On behalf of the Board, M & A Securities is pleased to announce that Bursa Securities had vide its letter dated 21 January 2026 (“Approval Letter”), resolved to approve the listing and quotation of up to 20,554,700 Settlement Shares and 20,554,700 Placement Shares to be issued pursuant to the Proposals subject to the following conditions:

1. HWGB and M & A Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposals.

2. HWGB and M & A Securities to inform Bursa Securities upon the completion of the Proposed Debt Settlement and Proposed Private Placement respectively.

3. HWGB and M & A Securities to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed.

4. HWGB to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders in general meeting approving the Proposals prior to the listing and quotation of the new shares.

5. HWGB/ M & A Securities must ensure full compliance with the 25.00% public shareholding spread requirement pursuant to paragraph 8.02(1) of the Listing Requirements in relation to the Proposed Debt Settlement.
