Unless otherwise defined, capitalised terms used in this announcement shall carry the same meanings as those given to them in the announcement dated 23 October 2025 ("Announcement") and the circular dated 13 January 2026 (“Circular”) in relation to the Proposed Acquisition. 

Reference is made to the Announcement and the Circular.

With reference to the SSA, the obligations of the parties that are set out in the SSA are conditional upon the Conditions Precedent being obtained/fulfilled or waived (as the case may be) before the day falling 3 months from the date of SSA, being 23 October 2025, or such other date as the parties may mutually agree upon (“Cut-Off Date”).

RHB Investment Bank, on behalf of the Board, wishes to announce that the Company and the Vendor have agreed to extend the Cut-Off Date up and until 23 February 2026, in order to fulfill the Conditions Precedent under the SSA. For the avoidance of doubt, all other terms and conditions of the SSA remain unchanged.

The Company will make further announcement in relation to the SSA as and when required under the Listing Requirements.
