On behalf of the Board of Directors of JAKS Resources Berhad (“JAKS”) (“Board”), M & A Securities Sdn Bhd (“M & A Securities”) wishes to announce that JAKS Solar Power Sdn Bhd (“JSPSB” or “Vendor”), a wholly owned subsidiary of JAKS Solar Power Holdings Sdn Bhd, who in turn is a wholly-owned subsidiary of JAKS, had on 9 January 2026 entered into a share sale agreement (“SSA”) with Sunview Asset Management Sdn Bhd (“SAMSB” or “Purchaser”) for the proposed disposal of 10,000,000 ordinary shares (“Sale Shares”) in JAKS Solar Nibong Tebal Sdn Bhd (“JSNT”), representing 100.00% equity interest in JSNT, to the Purchaser for cash consideration of RM15.00 million (“Cash Consideration”) and settlement by SAMSB of amount owing by JSNT to JAKS of up to RM40.00 million (“Settlement of Advances”) (“Proposed Disposal”).
